Corporate Governance



Sound corporate governance is fundamental in maintaining the confidence of investors and increasing shareholder value. As such, First National is committed to the highest standards of integrity to ensure transparency, compliance and discipline. It defines the relationships among all of our stakeholders – Board, management and shareholders – and is the basis for building these values and a nurturing culture of accountability and responsibility across the organization.

Policies
The Board supervises and evaluates the management of the Corporation, oversees matters related to our strategic direction and assesses results relative to our goals and objectives. As a result, the Board has adopted several policies that reflect best practices in governance and disclosure. These include a Disclosure Policy, a Code of Business Conduct, a Whistleblower Policy and an Insider Trading Policy. These policies are compliant with the corporate governance guidelines of the Canadian Securities Administrators. As a public company, First National’s Board continues to update, develop and implement appropriate governance policies and practices as it sees fit.

Committees
The Board of Directors has established an Audit Committee and a Compensation, Governance and Nominating Committee to assist in the efficient functioning of the Corporation’s corporate governance strategy.
